This Customer Agreement ("Agreement") is entered into by and between the customer and Universe Academy Ltd, a company registered in the United Kingdom with company number 14797626 and its registered office at Dept 4487, 196 High Road, Wood Green, London, United Kingdom, N22 8HH, United Kingdom. This Agreement sets forth the terms and conditions governing your access to and use of the Universe Academy learning platform ("Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, you may not access or use the Platform.

1. SERVICES

1.1. Universe Academy grants you a non-exclusive, non-transferable, revocable, limited right to access and use the Platform, which includes the online learning courses, resources, tools, and other materials provided by Universe Academy (collectively, the "Services").

1.2. Universe Academy reserves the right to modify, update, or discontinue the Platform or any part thereof at any time without notice.
 

    2. ACCOUNT REGISTRATION AND SECURITY

2.1. In order to access and use the Services, you will need to create an account with Universe Academy. You agree to provide accurate, current, and complete information during the registration process and to promptly update your account information as necessary.

2.2. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to immediately notify Universe Academy of any unauthorized use of your account or any other breach of security.
 

    3. FEES AND PAYMENT

3.1. Access to certain Services may require payment of fees. By registering for and using any fee-based Services, you agree to pay the applicable fees.

3.2. Fees are exclusive of any applicable taxes, which shall be your responsibility.

3.3. Payments must be made in advance and are non-refundable, except as expressly provided in this Agreement.

    4. INTELLECTUAL PROPERTY RIGHTS

4.1. The Platform, including its content, features, and functionality, is owned by Universe Academy or its licensors and is protected by copyright, trademark, and other intellectual property laws.

4.2. You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content obtained from the Platform, except as expressly permitted by this Agreement.

4.3. You may use the Platform and its content for your personal, non-commercial use only, and you agree to comply with all copyright and other intellectual property notices.
 

    5. TERM AND TERMINATION

5.1. This Agreement commences on the date you first access or use the Platform and continues until terminated by either party.

5.2. You may terminate this Agreement at any time by ceasing to use the Platform and notifying Universe Academy in writing.

5.3. Universe Academy may terminate this Agreement, without cause, upon providing you with thirty (30) days written notice. Additionally, Universe Academy may terminate this Agreement immediately if you breach any term or condition of this Agreement.
 

    6. DISCLAIMERS AND LIMITATION OF LIABILITY

6.1. The Platform and Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2. In no event shall Universe Academy, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages

(including, without limitation, loss of profits, data, use, or goodwill) arising out of or in connection with this Agreement, the Platform, or the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Universe Academy has been advised of the possibility of such damages.

6.3. Universe Academy's total liability to you for all claims arising out of or in connection with this Agreement, the Platform, or the Services, whether in contract, tort, or otherwise, shall not exceed the amount of fees paid by you to Universe Academy in the twelve (12) months prior to the event giving rise to the claim.
 

    7. INDEMNIFICATION

7.1. You agree to defend, indemnify, and hold harmless Universe Academy, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Platform and the Services, or your breach of this Agreement.

    8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

8.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    9. FORCE MAJEURE

9.1. Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

   10. MISCELLANEOUS

10.1. This Agreement constitutes the entire agreement between you and Universe Academy with respect to your access to and use of the Platform and the Services, and supersedes all prior or contemporaneous agreements, whether written or oral, between the parties relating to the subject matter hereof.

10.2. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

10.3. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

10.4. You may not assign or transfer this Agreement or any rights or obligations hereunder, in whole or in part, without the prior written consent of Universe Academy. Universe Academy may assign this Agreement without restriction.

10.5. Any notices or other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally or sent by email to the email address provided by you during the account registration process.

    11. CHANGES TO THIS AGREEMENT

11.1. Universe Academy reserves the right to modify, update or change the terms and conditions of this Agreement at any time. If we make any material changes, we will provide you with reasonable notice before the changes become effective. Your continued use of the Platform and the Services after such notice constitutes your acceptance of the amended Agreement. If you do not agree to the amended terms and conditions, you must stop using the Platform and the Services.
 

    12. PRIVACY

12.1. By using the Platform and the Services, you acknowledge and agree that Universe Academy may collect, use, and disclose your personal information in accordance with its Privacy Policy, which is incorporated by reference into this Agreement.     13. THIRD-PARTY CONTENT AND LINKS

13.1. The Platform may contain links to third-party websites, content, or resources that are not owned or controlled by Universe Academy. You acknowledge and agree that Universe Academy is not responsible for the availability, content, or practices of such third-party websites, and you use them at your own risk. We recommend that you review the terms of use and privacy policies of any third-party websites that you visit.

    15. COMPLAINTS AND FEEDBACK

15.1. If you have any complaints or feedback regarding the Platform or the Services, please contact Universe Academy at [complaints email address]. We will use commercially reasonable efforts to address your concerns and strive to improve the quality of the Platform and the Services.

IN WITNESS WHEREOF, by accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Customer Agreement.

    16. SEVERABILITY

16.1. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall continue in full force and effect.

    17. ENTIRE AGREEMENT

17.1. This Agreement, together with the Privacy Policy and any other legal notices or additional terms and conditions published by Universe Academy on the Platform, constitutes the entire understanding between you and Universe Academy concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the parties relating thereto.
